1. Introduction

Welcome to UniLearn OS (“UniLearn”), a cloud-based educational management platform operated by Foresite Technology Ltd. These Terms of Service govern access to and use of the UniLearn platform, website, applications, and associated services.

By accessing or using UniLearn, you agree to be bound by these Terms.

2. Definitions

Platform
The UniLearn software system and all related services.

Institution
Any school, college, university, training center, church school, ministry, or educational organization subscribed to UniLearn.

Authorized Users
Administrators, faculty, staff, students, parents, guardians, and any individuals granted access by an Institution.

3. License Grant

UniLearn grants Institutions a limited, non-exclusive, non-transferable subscription license to access and use the Platform during the active subscription period.

Ownership of the software remains exclusively with Foresite Technology Ltd.

4. Acceptable Use

Users may not:

• Share login credentials
• Attempt unauthorized access
• Upload malicious code
• Interfere with system operations
• Reverse engineer the software
• Resell or sublicense the platform
• Use UniLearn for unlawful purposes

5. Data Ownership

Institutions retain ownership of their:

• Student records
• Academic records
• Financial records
• Attendance records
• Uploaded content

UniLearn does not claim ownership of institutional data.

6. Service Availability

UniLearn aims for 99% uptime but does not guarantee uninterrupted service.

Maintenance windows may occur periodically.

7. Intellectual Property

All software, source code, branding, logos, designs, documentation, and platform features remain the property of Foresite Technology Ltd.

8. Suspension and Termination

UniLearn may suspend accounts for:

• Non-payment
• Security breaches
• Violation of Terms
• Fraudulent activity

9. Limitation of Liability

UniLearn’s liability shall not exceed the amount paid by the Institution during the previous 12 months.

UniLearn shall not be liable for indirect, incidental, or consequential damages.

10. Governing Law

These Terms shall be governed by the laws of Trinidad and Tobago unless otherwise agreed in writing.
